SEC Eases Data Center Financing

SEC staff clarified that qualifying securities backed by physical data-center assets and operating cash flows may not be treated as asset-backed securities under the relevant Exchange Act framework.

The interpretation could reduce reporting, risk-retention, certification and related compliance burdens, giving U.S. data-center owners another way to fund expansion as AI-related capital needs rise. The treatment does not apply to mortgage-backed data-center securities and is guidance rather than a formal rule change.
